Mutual Confidentiality Agreement – AI POD Hub
This Mutual Confidentiality Agreement (“Agreement”) governs the exchange of Confidential Information between Globant (“Company”) and the user accessing the AI POD Hub (“User”).
1. Purpose
The parties may exchange Confidential Information through the AI POD Hub, including interactions with the agent, for the purpose of exploring and evaluating AI POD subscriptions and related potential services (the “Purpose”).
2. Confidential Information
“Confidential Information” means any non-public business, technical, financial, commercial, operational and/or strategic information disclosed by either party to the other in relation with the Purpose, through or in connection with the AI POD Hub, including in written, electronic or oral form. Confidential Information includes prompts, inputs, outputs, data, documents, materials, configurations, analyses, recommendations and any other content divulged in connection with the Purpose.
Confidential Information does not include information that a party can demonstrate:
- (i) is publicly available without breach of this Agreement;
- (ii) was lawfully known prior to disclosure;
- (iii) is received from a third party without restriction; or
- (iv) is independently developed without use of the disclosed information.
3. Confidentiality Obligations
Each party shall:
- use Confidential Information solely for the Purpose;
- protect it using reasonable care;
- disclose it only to employees, affiliates, contractors or advisors with a need to know and subject to confidentiality obligations no less protective than those set forth herein.
4. Ownership
All Confidential Information remains the property of the party disclosing such information.
No license or ownership rights are granted except the limited right to use such information for the Purpose.
5. Term
This Agreement remains in effect while information is exchanged through or in connection with the AI POD Hub.
Confidentiality obligations survive for two (2) years from the date of each disclosure.
6. Governing Law
This Agreement shall be governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
